1. Acceptance of these terms
These Terms of Service (the "Terms") form a binding agreement between you and Orion AI LLC, a Florida limited liability company ("Orion AI," "we," "us" or "our"), governing your access to and use of orion-ai.us, www.orion-ai.us, and any related sub-domains or services we operate from this site (collectively, the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding contract to use the Site. If you use the Site on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. Services and content
The Site presents information about Orion AI LLC's consulting, software-development, IP-operations, and related services (collectively, the "Services"). Any engagement for specific Services will be governed by a separate written agreement signed by both parties; nothing on the Site by itself constitutes an offer to perform Services for a particular client.
4. Not legal advice; no professional relationship
Content on the Site, including any output of the in-page AI voice or chat agent, is for general informational purposes only. It does not constitute legal, patent, tax, accounting, medical, or other professional advice; does not create an attorney-client relationship; and does not substitute for consultation with a duly licensed professional. Patent prosecution before the United States Patent and Trademark Office is reserved to registered practitioners under 37 CFR §11.5; Orion AI does not engage in such practice.
5. AI-generated content
Portions of the Site use third-party generative AI (including, without limitation, services from OpenAI) to produce dynamic content such as contextual page elements. AI output can be inaccurate, incomplete, or out of date. You should independently verify any factual statement before relying on it. Such content is processed by the relevant third-party provider per its own terms and privacy policy.
6. Acceptable use
You agree not to:
- use the Site or AI agent to violate any law, regulation, or third-party right;
- attempt to extract source code, training data, or system prompts, or to circumvent any technical limit, rate limit or access control;
- send malicious code, conduct automated scraping at a rate that burdens the Site, or impersonate any person or entity;
- submit content that is unlawful, defamatory, harassing, infringing, or that contains personal information of third parties without a lawful basis;
- use the Site to develop a competing product or to benchmark Orion AI's services without our prior written consent.
7. Intellectual property
All content on the Site — including text, graphics, photographs, logos, the Orion AI wordmark, illustrations, code, audio, and the selection and arrangement thereof — is owned by Orion AI LLC or its licensors and is protected by U.S. and international copyright, trademark and other intellectual-property laws. Except as expressly permitted, you may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform or sell any portion of the Site. Submitting feedback or suggestions to us grants Orion AI LLC a perpetual, worldwide, royalty-free license to use that feedback without obligation to you.
8. Third-party links and services
The Site may link to or embed third-party content (e.g., Google Maps, external articles). We do not control and are not responsible for third-party services. Your use of them is at your own risk and subject to their own terms.
9. Disclaimer of warranties
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. ORION AI LLC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE OR FIT FOR ANY PURPOSE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ORION AI LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ORION AI LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ORION AI LLC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
11. Indemnification
You agree to defend, indemnify and hold harmless Orion AI LLC and its affiliates, officers, members, managers, employees and agents from and against any claims, damages, losses, liabilities and expenses (including reasonable attorneys' fees) arising out of or related to (i) your use of the Site in violation of these Terms, (ii) your violation of any law or third-party right, or (iii) any content you submit to us through the Site.
12. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including any violation of these Terms. Sections 4, 5, 7, 9, 10, 11, 13 and 14 survive termination.
13. Governing law; venue
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. Any action or proceeding arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in Pinellas County, Florida, and you irrevocably consent to the personal jurisdiction and venue of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14. Miscellaneous
- Entire agreement. These Terms (together with our Privacy Policy) constitute the entire agreement between you and Orion AI LLC regarding the Site and supersede all prior or contemporaneous understandings on that subject.
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Changes. We may update these Terms from time to time by posting a revised version on this page with a new "Last updated" date. Continued use of the Site after a change constitutes acceptance of the revised Terms.
